All chairs, tables, backdrops, event furniture, accessories, and related products sold by Heavy Duty Products (“Seller”) are subject to the following Terms and Conditions of Sale (“Terms”). By placing an order, the purchaser (“Buyer”) agrees to be legally bound by these Terms.
No representative, employee, or agent of Heavy Duty Products is authorized to modify these Terms unless agreed to in writing by an authorized officer of the company.
2.1 All products are sold on a first-come, first-served basis. Product availability is not guaranteed until payment or deposit has been received.
2.2 In-stock items require full payment prior to shipment or pickup unless otherwise agreed to in writing.
2.3 A non-refundable deposit of thirty percent (30%) may be required to reserve inventory, production space, or large commercial orders.
2.4 Orders requiring deposits will not be scheduled or processed until the deposit is received.
3.1 Orders may be cancelled within forty-eight (48) hours of placement or prior to shipment, whichever occurs first, by providing written notice to the Seller.
3.2 Cancellations made after the forty-eight (48) hour period but before shipment are subject to a restocking fee equal to thirty percent (30%) of the total purchase price.
3.3 Once an order has shipped or been picked up, it is no longer eligible for cancellation, refund, or credit.
3.4 Special-order products may be considered final sale and non-refundable.
4.1 All balances must be paid in full prior to shipment or pickup.
4.2 Accepted payment methods may include credit card, debit card, Zelle, wire transfer, cash, and other approved payment methods.
4.3 Heavy Duty Products reserves the right to delay or withhold shipment if payment obligations are not completed in full.
4.4 The Buyer is responsible for ensuring all payment deadlines are met.
5.1 All shipments are made F.O.B. Los Angeles, California. Title and risk of loss transfer to the Buyer once merchandise is delivered to the freight carrier.
5.2 Estimated shipping dates are not guaranteed. Heavy Duty Products is not liable for delays caused by freight carriers, weather, labor shortages, customs delays, or events beyond its control.
5.3 The Buyer may request a preferred freight carrier. If no carrier is specified, Heavy Duty Products may select one at its discretion.
5.4 The Buyer must inspect all shipments immediately upon delivery.
5.5 Any freight damage, shortages, or delivery issues must be reported in writing within five (5) calendar days of delivery.
5.6 Visible freight damage must be noted on the delivery receipt before signing for the shipment.
5.7 Heavy Duty Products does not reimburse shipping costs related to delays, refused shipments, returns, or warranty claims.
6.1 The Buyer is responsible for inspecting all products immediately upon receipt.
6.2 Failure to report defects, shortages, or damages within five (5) calendar days constitutes full acceptance of the merchandise.
6.3 Minor cosmetic imperfections that do not affect functionality are not considered defects.
7.1 Heavy Duty Products offers limited warranty coverage against manufacturing defects on select products.
7.2 Warranty coverage does not include normal wear and tear, misuse, improper storage, overloading, improper setup, negligence, accidental damage, or unauthorized modifications or repairs.
7.3 Warranty claims must be approved prior to repair or replacement.
7.4 The Buyer is responsible for transportation and shipping costs related to warranty claims unless otherwise approved in writing.
7.5 Third-party products are covered only by their original manufacturer’s warranty.
8.1 Heavy Duty Products is not liable for indirect, incidental, or consequential damages including lost business income, rental interruptions, event cancellations, labor costs, or delivery delays.
8.2 Maximum liability shall not exceed the original purchase price of the product.
The Buyer is responsible for all applicable sales taxes, duties, fees, or governmental charges related to their purchase.
All logos, images, product descriptions, graphics, branding, and website content are the sole property of Heavy Duty Products and may not be copied or reproduced without written permission.
11.1 All sales are final unless otherwise approved in writing by Heavy Duty Products.
11.2 Approved returns may be subject to a thirty percent (30%) restocking fee, return shipping charges, and inspection upon arrival.
11.3 The following items are non-returnable:
Heavy Duty Products is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, freight delays, government actions, supply shortages, or acts of God.
These Terms and Conditions are governed by the laws of the State of California.
Any legal disputes shall be resolved exclusively in Los Angeles County, California.
The prevailing party in any legal action related to these Terms shall be entitled to recover reasonable attorneys’ fees and legal costs.
If any portion of these Terms is deemed unenforceable, the remaining provisions shall remain fully enforceable.
These Terms constitute the full agreement between Heavy Duty Products and the Buyer and supersede all prior communications or agreements.
Heavy Duty Products reserves the right to refuse service, cancel orders, or limit quantities at its discretion without liability.
